I.  Name  The name of the organization operating under this charter is:  The Axsom Association of America.

 

II.  Purpose  The purpose of the Axsom Association of America is to promote an understanding of and an appreciation for:

 

            l   the Axsom family history and lineage in America and

            l   the ancestry of the Axsoms who first came to America.

 

III.  Membership Qualifications and Classes  Every living person who is a descendant of one Joseph H. Axsom of Surry County, North Carolina (who died in 1833) or who is a descendant of an Axsom ancestor of Joseph H. Axsom is eligible for membership in the Axsom Association of America (hereafter called “The Association”.)  Such persons are called Eligible Axsoms.  There are four classes of members of The Association:

 

1. An Active Member of The Association is any Eligible Axsom (or an immediate family member of an Eligible Axsom) who meets all of the membership requirements of the by-laws of The Association. 

2. An Inactive Member is a person who was an Active Member but who fails to meet the then current membership requirements.

3. A person who is not an Eligible Axsom may become an Honorary Member by election of The Association’s officers. 

4. Any Active Member, Inactive Member or Honorary Member automatically becomes a Posthumous Member upon that member’s death. 

 

IV.  Officers and Their Duties  

 

1.  The set of officers of The Association will consist of, at least: president, vice president, secretary and treasurer. If any of these officers vacates his/her office, the order of succession is the order previously listed and only one officer assumes new responsibilities.  The president succeeds the treasurer.

 

2.  A set of officers shall be elected by a plurality vote from among those adult Active Members whose names have properly been placed in nomination for the various individual offices.  Such elections must be held at least every five years but no more frequently than every year.  Such elections must be properly announced and the results properly published according to the by-laws of by The Association.  Only adult Active Members may cast votes, either in person or by written proxy, in any election of officers.

 

3.  Unless specified in the by-laws, there is no monetary compensation for the services performed by a person who serves as an officer of The Association.  Approved expenses will be reimbursed from available funds. 

 

4.  The set of officers may, from time to time, appoint from among the non-posthumous members, one or more committees.

 

5.  The elected officers and the past president form the executive committee whose duty it is to carry out the decisions of The Association and to plan, announce and conduct the meetings of The Association.

 

6.  The activities undertaken for The Association by the set of officers or by any appointed committees must conform to the purpose of The Association.

 

7.  The officers of the Association must maintain and make available to active members at minimum cost an annual membership roll, which contains at least:

a.   the names and location information of all active members,

b.   the names of all members who are inactive and have been inactive for ten years or less,

c.   the names of those who became posthumous members that year,

d.   the name of each person who became an honorary member that year and the reasons for which the honorary membership was bestowed.

 

V.  Meetings  The officers shall call a meeting of The Association at least once every five years.

 

VI.  Amending the Charter  The Charter of The Association may be amended by a 2/3 vote of those adult Active Members attending a meeting of The Association whose date and purpose for amending the Charter were announced in advance of the meeting.
